Terms & Conditions

The services offered by PMI remain firm for a period of ninety days from the date of writing.

Professional fees

Professional fees are charges for estimated time required by PMI staff members in connection with the various phases included in this project. If PMI’s assignment guidelines are changed while the project is under way, it may be necessary to modify the budget.

At the time, the client will be notified and approval for further expenditure requested. Costs and expenses in addition to payment of the agreed charges, other fees, expenses and disbursements will be passed on to the Client at cost plus 17.5% to cover all administration and management costs.

This is for items such as models, photographs, prototypes, research materials and other records including all those used in communication between all parties associated with the Project; and graphic expenses, including visual image library and photography; and all subsistence and traveling expenses (standard class for rail fares if journey is less than 2 hrs, first class for journeys in excess of 2 hrs, business class for air journeys of less than 7 hrs and club class for air journeys of more than 7 hrs), car hire including mileage allowance for private vehicular use at standard AA rates (55p per mile); and fees and other charges, expenses and disbursements for specialist professional services including legal advice, statutory fees and other consultants fees incurred with the Client's written consent; and the cost of air freight and courier services; and rental and car hire charges for specialist equipment, incurred with the Client's written consent.

Should our disbursements exceed the agreed project allowance we would notify the client team in advance and negotiate a further allowance. Additional charges will be made for any services not specified above.

Confidentiality

All work done is kept strictly confidential unless agreement is secured from the Client. Any information supplied to PMI concerning your business, or indeed anything marked as confidential, will not be intentionally disclosed. Once the project is complete PMI will utilize its involvement in the project as a PMI credential. PMI will not discuss anything of a confidential nature either with the press or other clients.

Exclusivity

PMI will not normally work on an exclusive basis unless this has been specifically agreed and is supported by the level of business involved.

PR

Whilst working for you PMI will not make press announcements prior to agreeing them with you.

Project cancellation / termination

You are at liberty to cancel PMI’s involvement in the project conditional on all work to date being paid for and a cancellation charge of 50% on the outstanding total billing due had the project been completed. PMI is also free to resign from the project on one month’s notice given and one month’s income is paid.

Either party may terminate this agreement by one month's written notice to the other with immediate effect should either party commit any material or persistent breach of any terms if this agreement which shall not have been remedied within 14 days of a written request to remedy the same. The termination of this Agreement shall not affect any preexisting liability of either party to the other nor the right of either party to look to the other for damages for breach.

Invoicing and payment terms

Work outside the brief is agreed in advance and quoted for separately. Costs are agreed in advance and invoiced on a monthly basis or according to the agreed billing schedule. Initial and immediate payment of an agreed lump sum of the total fee will cover costs incurred for the commencement of work. Our standard terms and conditions are that payment of invoices is 30 days from the date of issue, with 10% interest payable on unpaid balances. (Late Payment and Commercial Debts (interest) Act - November 1998). All invoices will clearly state the contract number, the service(s) and period for which payment is due. Value Added Tax or local foreign taxes will be an addition to our fee proposal if incurred.

Force Majeure

Neither party shall be liable for any failure to perform its obligations under this Agreement resulting from an Event of Force Majeure and both parties shall be excused performance for the duration of this project plus such further period as may reasonably be necessary for the party unable to perform its obligations by reason of the Event of Force Majeure to resume the performance of its obligations.

Each party shall give immediate notice to the other upon becoming aware of an event of Force Majeure that affects its obligations under this Agreement, such notice to contain details of the circumstances giving rise to the event of the Force Majeure.

If a default due to an Event of Force Majeure continues for more than 60 days then either party shall be entitled to terminate this agreement with immediate effect by written notice to the other at anytime during the continuance of such Event. Neither party shall have any liability to the other in respect of the termination of this agreement as a result of an Event of Force Majeure.

English law shall govern this Agreement and each of the parties submits to the nonexclusive jurisdiction of the English Courts.
